📄 Terms & Conditions – Kiori

These Terms & Conditions (“Terms”) govern the use of the Kiori platform (“Kiori”, “the Service”), operated by:

By creating an account or using Kiori, you agree to be bound by these Terms.


1. Scope of the Agreement

Kiori is a cloud-based SaaS platform for knowledge management, document processing, semantic search (RAG), and AI-powered assistant features, including agentic workflows and team collaboration.

The Service is offered through:

  • Monthly subscriptions
  • Team plans (20 €/month per user)
  • Optional paid add-ons (e.g., additional workspaces)
  • A potential free tier (may not yet be available)

Enterprise and custom pricing may apply for organizations.


2. Eligible Users

Kiori may be used by:

  • Consumers (B2C)
  • Businesses, teams, and organizations (B2B)

Enterprise clients may receive separate contractual terms.


3. Registration & Account Security

Users must create an account to access the Service.

Allowed registration methods:

  • Email & password
  • Google OAuth

You are responsible for safeguarding your login credentials and preventing unauthorized access.


4. 7-Day Free Trial

New users may receive a 7-day free trial:

  • No payment details required to start the trial
  • Trial includes access to full functionality
  • After the trial ends, continued use requires selecting a paid plan
  • No automatic conversion to a paid subscription unless the user explicitly subscribes

5. Subscription Plans & Pricing

Standard pricing:

  • 10 € per month (individual plan)
  • 20 € per user/month (team plan)

Prices are applied consistently across currencies (10 / 20 USD / GBP), reflecting the same nominal value.

Subscriptions:

  • Renew automatically every month
  • Are billed via Stripe
  • May be changed or cancelled at any time

Price changes: We may update prices. Users will be notified at least 30 days in advance. If a user does not accept the updated pricing, they may cancel before the next billing cycle.


6. Add-ons & Additional Services

Users may purchase optional add-ons such as additional workspaces or increased resource limits.

Pricing and functionality for each add-on are clearly displayed at purchase time.


7. Payments & Billing (Stripe)

All payments are processed exclusively through:

Stripe Payments Europe Ltd.

Stripe handles:

  • Payment authorization
  • Recurring billing
  • Invoicing
  • Payment method management

Kiori does not store full payment information on its servers.


8. Term, Renewal & Cancellation

  • Subscriptions run on a monthly basis.
  • They renew automatically until canceled.
  • Cancellation is performed through the Stripe Customer Portal.
  • Cancellation takes effect at the end of the current billing period.

We do not provide refunds for partially used periods except where required by law.


9. Right of Withdrawal for Consumers (EU Users)

EU consumers have a 14-day statutory right of withdrawal from the moment the subscription is purchased.

However, by choosing to access Kiori immediately, the user acknowledges:

“I expressly request immediate access to the digital service and acknowledge that once service delivery begins, I lose my right to withdraw for the services already provided.”

This wording fulfills the EU Digital Content Directive requirements.


10. Acceptable Use Policy

Users must comply with applicable laws and may not use Kiori to:

  • Upload illegal, harmful, or abusive content
  • Upload copyrighted content without proper authorization
  • Upload personal data of third parties without lawful basis
  • Deploy malware, viruses, or attempt to compromise the platform
  • Conduct automated scraping or data harvesting
  • Reverse engineer, copy, or decompile the software
  • Misuse AI models for harmful or prohibited content

Violation may result in temporary suspension or account termination.


11. AI-Powered Features – Important Disclaimer

Kiori uses external AI providers (e.g., OpenAI, Anthropic, Google Gemini, Groq, Fireworks).

Therefore:

  • AI-generated content may be incorrect, incomplete, misleading, or inappropriate
  • The Service does not guarantee accuracy, reliability, suitability, or legal/technical correctness
  • Users must independently verify all AI outputs
  • Kiori is not responsible for decisions made based on AI responses

The Service is provided “as is” with no warranty for AI-generated content.


12. Service Availability

Kiori is provided as a best-effort service:

  • No uptime guarantees (no SLA)
  • Temporary interruptions may occur due to maintenance or technical issues
  • Features may change as the platform evolves

We are not liable for outages or data delays unless caused by gross negligence or intentional misconduct.


13. Modifications to the Service

We may modify, enhance, or discontinue features if:

  • they improve product quality,
  • are necessary for security,
  • or reflect changes in technology or market conditions.

Material changes will be communicated to users in advance when possible.


14. Data Deletion & Termination of Service

Upon account deletion or subscription termination:

  • User data is deleted immediately (with a short recovery window)
  • Logs are retained or anonymized according to our Privacy Policy
  • Backups are overwritten in their normal rotation cycle

Data handling fully complies with our Privacy Policy, which forms part of these Terms.


15. Intellectual Property

All intellectual property rights relating to:

  • the software
  • platform design
  • AI workflows
  • interfaces
  • documentation

remain the property of Crowd Wisdom SLU.

Users receive a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.


16. Limitation of Liability

We are liable only for:

  • intentional misconduct
  • gross negligence
  • damages to life, health, or safety
  • obligations under mandatory law

For simple negligence, we are liable only when breaching essential contractual obligations and only to the extent of foreseeable damages.

We are not liable for:

  • lost profits
  • data loss
  • indirect or consequential damages
  • reliance on AI-generated outputs

To the fullest extent permitted by law, liability is limited.


17. Offsetting & Assignment

Users may only offset claims that are undisputed or legally established. Users may not assign rights or obligations to third parties without our prior written consent.


18. Governing Law & Jurisdiction

These Terms are governed by Spanish law, excluding its conflict-of-law rules.

For consumers in the EU:

Consumers may bring claims in the courts of their country of residence, in accordance with EU Regulation 1215/2012.

For businesses:

Exclusive jurisdiction is Barcelona, Spain.


19. Final Provisions

If any provision of these Terms is found invalid, the remaining provisions remain in full force.

Changes to the Terms require written or electronic form.

Use of the Service is subject to the version of the Terms in effect at the time of use.


20. User-Generated Public Workspaces (Copyright Responsibility & Takedown Process)

20.1 User Responsibility for Public Workspaces

Users may create Public Workspaces, which allow other users to query and interact with content the creator has uploaded. By publishing a workspace publicly, the user confirms that:

  • they have all necessary rights, licenses, or permissions to make the included content publicly accessible;
  • making the content publicly available does not violate copyright, contractual obligations, privacy rights, or other third-party rights;
  • they assume full legal responsibility for any content they upload or publish.

20.2 Platform Liability Shield

Kiori operates as a hosting and processing service provider. We do not review user-uploaded content for legality, accuracy, or copyright compliance. Liability for all uploaded content lies solely with the user who provided it.

20.3 Takedown Requests

Rights-holders or affected third parties may request removal of copyrighted, infringing, or otherwise unlawful content by contacting us at legal@crowd-wisdom.com.

Upon receiving a legitimate request, Kiori will:

  • remove or disable access to the identified content promptly, and
  • notify the user who created the workspace.

20.4 Content Removal & Account Actions

We may remove public workspaces or restrict access if:

  • we receive a valid infringement notice,
  • we reasonably believe the workspace violates the law or these Terms, or
  • the user repeatedly publishes infringing content.

Kiori may suspend or terminate accounts for repeated or severe violations.

20.5 No Publication of Third-Party Copyrighted Works Without Permission

Public workspaces must not include copyrighted materials (such as books, courses, paid PDFs, game rulebooks, proprietary documentation) unless the user has lawful permission to publish them. Private use remains permitted.
